Preferred Partner Agreement
This Preferred Partner Agreement (the "Agreement") governs your participation in the Reign TC Preferred Partners directory. By submitting an application, checking the agreement box, and typing your full legal name, you accept these terms as your electronic signature under the Nevada Uniform Electronic Transactions Act (NRS Chapter 719).
1. Term & Auto-Renewal
This Agreement begins on the date your application is approved (the "Effective Date") and continues on a month-to-month basis, automatically renewing each month unless terminated by either party in writing (email is sufficient) before the next billing date.
Annual prepay subscriptions auto-renew each year unless cancelled at least 30 days before the renewal date. Mid-term cancellation forfeits the 20% annual discount and the prorated balance for unused months is non-refundable.

Fees are billed via Stripe on the Effective Date each month (or year for annual). Failed payments suspend the listing within 7 days; permanent removal occurs after 14 days unless resolved. Existing partners are price-locked for the duration of their unbroken subscription; new pricing applies only at renewal with 30 days' written notice.
3. What Reign TC Provides
- All tiers: public listing on reigntc.com/partners, business name, logo, contact info, brief description, click-tracking analytics in Partner portal.
- Featured tier: top placement above Spotlight, gold badge, monthly newsletter mention to ~17,000 subscribers (subject to editorial fit), inclusion in Reign TC recommended-vendor PDF distributed at every closing.
- Premium tier: sole occupancy of top spot in category, feature placement in Reign TC client portal, one (1) dedicated email blast per quarter, optional inclusion in intake/onboarding kit.
Reign TC commits to good-faith promotion but does not guarantee any specific number of referrals, leads, click-throughs, or revenue outcomes. Performance varies by category, market conditions, and partner's own service quality.
4. What You Provide
Within 7 days of the Effective Date, you will provide: high-resolution logo (PNG or SVG, transparent), brief description (≤ 200 words), primary contact details, current state license number (if industry-applicable), and proof of current general liability insurance (minimum $1M where industry-standard).
You are responsible for keeping the above information accurate and current through the Partner portal at reigntc.com/partners/portal. If your license, insurance, or other regulatory standing lapses, you must notify Reign TC within 5 business days; the listing may be suspended until cured.
5. Exclusivity (Premium Tier Only)
Premium Tier guarantees sole occupancy of the top placement in your category for the duration of this Agreement. If you cancel or are removed, the slot becomes available to other vendors. There is no refund for partial-month exclusivity. Reign TC will not promote a directly competing vendor at the Premium tier in your category while this Agreement is active.
6. Cancellation
Either party may cancel at any time with written notice. Cancellation is effective at the end of the current billing period. The current month or year is non-refundable. Upon cancellation, the listing is removed from the public directory within 5 business days and the Stripe subscription is terminated.
7. Reign TC's Right to Terminate
Reign TC may terminate this Agreement immediately, with no refund, if you: provide materially false information; let your license or insurance lapse and fail to cure within 14 days; receive 3 or more substantiated complaints from agents, clients, or transaction parties within any rolling 12-month period; engage in deceptive, illegal, or unethical practices; damage Reign TC's brand or relationships; attempt to poach Reign TC employees, agents, or clients; or are more than 14 days late on payment.
8. Trademark, Logo, & Likeness
You grant Reign TC a non-exclusive, royalty-free, worldwide license to use your name, logo, photos, and submitted descriptions on reigntc.com, in marketing emails, in print collateral (closing kits, recommended-vendor sheets), and on Reign TC's social media — solely for promoting you under this Agreement. This license terminates upon cancellation, except that Reign TC may retain your information in printed materials already distributed and in archived emails already sent.
9. Disclosure (FTC Compliance)
You acknowledge that the Preferred Partners directory is a paid placement program. Reign TC will use clear "Preferred Partner" or "Sponsored" labels where required by FTC guidelines and Nevada advertising law. You agree not to misrepresent the nature of the relationship to clients.
10. Limitation of Liability
Reign TC operates a directory and referral platform. Reign TC is not responsible for the quality, timeliness, or outcome of any service you provide to a referred client. You agree to indemnify and hold harmless Reign TC, its owners, employees, contractors, and agents from any claim, lawsuit, or damages arising from your services, work product, advice, or conduct toward referred clients or transaction parties. In no event shall Reign TC's total liability under this Agreement exceed the fees you actually paid in the prior 6 months.
11. Confidentiality
Each party may receive confidential information from the other (referral counts, client lists, ROI data, internal pricing). Each party agrees to keep such information confidential and use it only for the purposes of this Agreement. This obligation survives termination for 2 years.
12. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Disputes will first be addressed through good-faith negotiation for at least 30 days. If unresolved, disputes will be settled by binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association. The prevailing party is entitled to reasonable attorneys' fees.
13. Entire Agreement
This Agreement is the entire agreement between the parties on this subject and supersedes any prior discussions or proposals. Modifications must be in writing and signed by both parties (electronic signature acceptable). If any provision is found unenforceable, the remainder remains in full effect.
For Spotlight tier ($99/mo), this Agreement is accepted via click-through during signup. For Featured ($299/mo) and Premium ($599/mo) tiers, both parties must execute via electronic signature (DocuSign, Authentisign, or equivalent) before billing begins.
